- We protect our methods too — our shrinkage factors, formulations and process know-how.
- Before an NDA is signed, we're glad to review appearance photos only, so you can gauge fit without exposing full geometry.
1. Purpose
To explore and perform mold design, mold diagnosis, DFM/mold audit and related engineering services, each party may share confidential information. This agreement governs how it's protected.
2. What's confidential
Any non-public information a party shares that is marked confidential or that a reasonable person would treat as confidential — including:
- Your product designs, 3D models, 2D drawings, samples, specifications, tolerances, materials, volumes, pricing and business information;
- MoldShifu's mold designs, engineering methods, know-how, templates, knowledge base, process windows, and in particular shrinkage factors, formulations and process parameters;
- Reports, quotes, correspondence and deliverables exchanged for the purpose.
3. Exclusions
Information that is already public, was already rightfully held without obligation, was rightfully received from a third party, or was independently developed without reference to the other's confidential information.
4. How each side must handle it
- Use it only for the purpose;
- Not disclose it to third parties without written consent, except to team members/subcontractors who need it and are under equivalent confidentiality;
- Protect it with reasonable care;
- Not copy it beyond what the purpose requires.
5. No reuse of your files
MoldShifu will not reuse your 3D data, drawings or designs on any other project or customer, and will not make, sell or supply your product or a copy of it to any third party.
6. Protection of our proprietary data
Our internal methods and confidential process data — including shrinkage factors, formulations and process parameters — are trade secrets. They may not be disclosed, reverse-engineered, or derived from any deliverable.
7. Term
Applies to information disclosed during a 2-year period; confidentiality obligations survive 3 years after disclosure, and trade-secret protections last as long as the information stays a trade secret. On request, each side returns or destroys the other's confidential information.
8. Governing law
Governed by the laws of the State of Colorado, United States, with exclusive jurisdiction in Colorado courts.
